The difference is based on the record in which the field is defined.
The "Company Name" field is used when the prospect is to be synced with SFDC as a Lead, and "Account Name" if you want the prospect to be synced with SFDC as a Contact.
Note that once a record is associated with an Account, it can no longer be associated with a Company.
